Dronamics Secures $100 Million to Scale Black Swan Cargo Drone
Dronamics will merge with GP-Act III Acquisition Corp. in a $400 million deal, raising $100 million to expand production of its Black Swan cargo drone and launch U.S. operations.

Dronamics will merge with GP-Act III Acquisition Corp. to raise $100 million in net cash. The business combination, announced on November 4, 2026, values the cargo drone developer's equity at $400 million on a fully diluted basis. Proceeds from the PIPE financing and the trust account will fund an immediate scale-up of operations.
The capital injection is critical for the European drone airline. Dronamics plans to operate its own aircraft for commercial cargo between regional airports, creating an autonomous middle-mile logistics alternative. The company has already secured an EU drone airline license and airline designator codes from international aviation bodies.
Strategic Use of Funds
Dronamics plans to use the $100 million to expand Black Swan aircraft production and accelerate commercial operations. The funds will also support growth in autonomous logistics, national security, geophysical surveying, and natural resources exploration.
Strategic partnerships are central to this expansion. The company works with Xcalibur Smart Mapping for airborne geophysical surveying and critical minerals exploration. Another partner, Asia Air Survey, is also a strategic investor and collaborates on geospatial mapping and civil protection applications.
Black Swan Platform
Dronamics develops unmanned aircraft systems for commercial and government use. Its flagship is the Black Swan, a long-range, fixed-wing NATO Class III platform. The drone is designed for cargo transportation, military logistics, intelligence gathering, and airborne surveillance.
The Black Swan recently demonstrated its versatility in a NATO exercise, flying search and rescue and intelligence, surveillance, and reconnaissance missions with an integrated partner sensor. The company also develops the smaller Black Cygnet, a Class I tactical drone for civil protection and national security.
Dronamics reports strong market interest for its flagship aircraft. Partners have indicated potential deployment of more than 730 Black Swan aircraft through preliminary agreements like memoranda of understanding, letters of intent, and term sheets on the cargo side alone.
Company co-founder Svilen Rangelov said the Black Swan can create a new category in autonomous aviation. He highlighted its combination of long-range capability, meaningful payload capacity, and attractive operating economics across cargo logistics, national security, and other mission-critical applications.
Timeline and Conditions
The transaction is expected to close in the first half of 2027. Completion is subject to GP-Act III shareholder approval, regulatory requirements, and other standard closing conditions. A specific financial condition requires Dronamics to maintain a minimum cash balance of $25 million on its balance sheet at closing.
Dronamics was founded in Sofia in 2014 by brothers Svilen and Konstantin Rangelov. In December 2021, its investment arm, Dronamics Capital, listed on the BEAM segment of the Bulgarian Stock Exchange, raising 5.87 million Bulgarian lev. The company's path to public trading on Nasdaq now hinges on the successful closure of this merger in the first half of 2027.
